Article 1

Acceptance of Terms

By accessing or using Atelier Pin (“the Service,” “Platform,” “we,” “us,” or “our”), a sole proprietorship operating under the business name Atelier Pin, with business address at Brandstrasse 31, 8952 Schlieren, Switzerland, you (“User,” “you,” “your”) agree to be bound by these Terms of Service (“Terms”) in their entirety.

If you do not agree to these Terms, you must immediately cease all use of the Service. Your continued use of the Service after any modification to these Terms constitutes your binding acceptance of the revised Terms.

These Terms constitute a legally binding agreement between you and Atelier Pin. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Users must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are 18 years of age or older.

Article 2

Description of Service

Atelier Pin is a software-as-a-service (SaaS) platform that enables users to generate visual content including Pinterest pins, Instagram posts, Instagram Stories, and Facebook Stories. The Service includes but is not limited to:

  • Image upload and visual content generation
  • Website URL scanning and content extraction (“Scraping Feature”)
  • Scheduled publishing to third-party platforms (including Pinterest via the Pinterest API), executed only at the time the User has scheduled or on the User's explicit instruction
  • Style template selection and application
  • Title, description, and hashtag generation
  • Video content processing (available on selected subscription tiers)
  • Font detection and application from scanned websites

Atelier Pin reserves the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice and without liability to you or any third party.

Article 3

Website Scraping — User Responsibility and Representations

3.1 User Warranty of Ownership and Authorization. When using the Scraping Feature, you expressly represent, warrant, and guarantee that:

  • You are the legal owner of the website being scraped, OR
  • You hold explicit written authorization from the website owner to scrape, extract, copy, reproduce, and use all content — including but not limited to images, text, fonts, product descriptions, blog content, and metadata — from the website in question, AND
  • Your use of any scraped content to generate visual materials for commercial or non-commercial publication complies fully with all applicable laws, including but not limited to copyright law, trademark law, and the intellectual property laws of Switzerland, the European Union, and the jurisdiction of the website owner.

3.2 Atelier Pin as a Neutral Tool Provider. Atelier Pin functions solely as a neutral technical tool. The Scraping Feature is a passive technical mechanism that retrieves publicly accessible content at the explicit instruction and direction of the User. Atelier Pin does not independently select, initiate, or control which websites are scraped. Atelier Pin has no knowledge of, and bears no responsibility for, the ownership status, copyright status, or terms of service of any third-party website entered by a User.

3.3 No Verification Obligation. Atelier Pin does not verify, and has no obligation to verify, that users own or have authorization to scrape any website they enter into the Service. The responsibility for such verification rests entirely and exclusively with the User.

3.4 Third-Party Website Terms of Service. Many websites prohibit scraping in their own terms of service. It is your sole responsibility to review and comply with the terms of service of any website you instruct Atelier Pin to scan. Atelier Pin accepts no liability for any breach of third-party terms of service caused by your use of the Scraping Feature.

3.5 Font Extraction. The Service may detect and extract font information from scanned websites for use in content generation. You represent and warrant that any font so extracted is either freely licensed, licensed for your use, or that you have authorization to use it in generated content. Atelier Pin bears no responsibility for font licensing compliance.

3.6 Content Generated from Scraped Material. All visual content generated by the Service using scraped material is generated at your direction and under your sole legal responsibility. You acknowledge that Atelier Pin cannot verify the intellectual property status of images, text, or other content extracted from third-party websites and that any legal risk arising from use of such content rests entirely with you.

3.7 Indemnification for Scraping. You agree to fully indemnify, defend, and hold harmless Atelier Pin, its owner, employees, contractors, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to your use of the Scraping Feature, including any claim by a third-party website owner, copyright holder, trademark holder, or other rights holder.

Article 4

User Content and Intellectual Property

4.1 Your Content. You retain all intellectual property rights in content you upload to the Service (“User Content”), including images, videos, and text. By uploading content, you grant Atelier Pin a limited, non-exclusive, royalty-free license to process, store, and use your content solely for the purpose of providing the Service to you.

4.2 Warranty of Ownership. By uploading any content to the Service, you represent and warrant that:

  • You own all rights to the content or have obtained all necessary licenses and permissions
  • The content does not infringe any third-party intellectual property rights
  • The content does not violate any applicable law
  • You have the right to grant Atelier Pin the license described in Article 4.1

4.3 Generated Content. Visual content generated by the Service using your uploaded or scraped content is provided to you under the license terms applicable to your subscription tier. Atelier Pin makes no representations or warranties regarding the intellectual property status of generated content and expressly disclaims all liability for any intellectual property infringement in generated content.

4.4 Atelier Pin Intellectual Property. All templates, style DNA systems, algorithms, software, design systems, user interface elements, and other proprietary elements of the Service are the exclusive intellectual property of Atelier Pin and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any Atelier Pin proprietary elements without express written permission.

4.5 Feedback. Any feedback, suggestions, or ideas you provide regarding the Service may be used by Atelier Pin without restriction, compensation, or attribution to you.

Article 5

Third-Party Platform Integration and Automated Posting

5.1 Third-Party Platforms. The Service may integrate with third-party platforms including but not limited to Pinterest, Instagram, Facebook, and TikTok (“Third-Party Platforms”). Your use of any Third-Party Platform is subject to that platform’s own terms of service and community guidelines, which are entirely separate from these Terms.

5.2 User Compliance with Third-Party Terms. You are solely responsible for ensuring your use of publishing features complies with the terms of service, community guidelines, spam policies, and API usage policies of all Third-Party Platforms to which you connect. Where you connect Pinterest, this includes the Pinterest Terms of Service, the Pinterest Community Guidelines, and the Pinterest Developer Policy. Atelier Pin does not guarantee that use of the Service will not result in account suspension, restriction, shadow-banning, or termination by any Third-Party Platform.

5.3 No Guarantee of Account Safety. Atelier Pin expressly disclaims any guarantee that use of its publishing features will not result in adverse action by any Third-Party Platform against your account. Third-Party Platform policies change frequently and without notice. You assume all risk associated with connecting your Third-Party Platform accounts to the Service.

5.4 Scheduled Publishing. Pins scheduled through the Service are published at the time you selected and only on the boards or destinations you selected. The actual time of publication may be subject to short delays caused by Third-Party Platform API processing. Atelier Pin makes no guarantee of exact timing, frequency, or successful delivery to Third-Party Platforms.

5.5 API Availability. Atelier Pin’s ability to provide publishing integration features depends on the availability of Third-Party Platform APIs. Atelier Pin accepts no liability for interruptions to publishing features caused by changes to, deprecation of, or unavailability of Third-Party Platform APIs.

5.6 Account Credentials and Tokens. You are solely responsible for the security of any account credentials connected to the Service. OAuth tokens issued to Atelier Pin by Third-Party Platforms are stored encrypted at rest and used only to perform the actions you have explicitly requested. You may disconnect any Third-Party Platform at any time from Settings → Connected accounts.

5.7 Pinterest Content Compliance. Where you publish pins to Pinterest through the Service, you represent and warrant that the content of each pin (image, title, description, destination link) complies with Pinterest's Community Guidelines, including its spam, misleading-content, intellectual-property, and prohibited-content rules. Atelier Pin acts solely as a technical conduit; responsibility for the content of pins published through the Service rests entirely with you.

Article 6

Prohibited Uses

You agree not to use the Service to:

  • Scrape, extract, or use content from websites you do not own or have explicit authorization to use
  • Generate content that infringes any third party’s copyright, trademark, patent, trade secret, or other intellectual property rights
  • Generate content that is defamatory, obscene, pornographic, abusive, offensive, harassing, or otherwise objectionable
  • Generate content that promotes illegal activities or violates any applicable law or regulation
  • Violate the terms of service of any Third-Party Platform
  • Engage in spamming, bulk posting, or any activity that violates Third-Party Platform anti-spam policies
  • Attempt to gain unauthorized access to any portion of the Service or its infrastructure
  • Use the Service for any commercial purpose not expressly permitted by your subscription tier
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use automated means to access the Service in a manner that exceeds reasonable usage or places undue burden on infrastructure
  • Resell, sublicense, or otherwise transfer access to the Service to third parties without express written permission
  • Use the Service in any manner that could damage, disable, or impair the Service
  • Upload malicious code, viruses, or any other harmful software
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

Atelier Pin reserves the right to immediately terminate your account without refund for any violation of this Article.

Article 7

Subscriptions, Payment, and Billing

7.1 Subscription Tiers. The Service is offered on a subscription basis. Available tiers, features, and pricing are as displayed on the Atelier Pin website at the time of purchase and are subject to change.

7.2 Billing. Subscriptions are billed on a recurring monthly or annual basis, as selected at purchase. Payment is processed through Stripe, a third-party payment processor. By subscribing, you authorize Atelier Pin to charge your payment method on a recurring basis until cancellation.

7.3 Price Changes. Atelier Pin reserves the right to change subscription prices at any time. Price changes will be communicated to existing subscribers with at least 30 days’ notice by email. Continued use of the Service after a price change constitutes acceptance of the new price.

7.4 Cancellation. You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of the paid period.

7.5 Taxes. Prices displayed may be exclusive of applicable taxes. You are responsible for all applicable taxes, including VAT where applicable, arising from your use of the Service. Swiss VAT may be applied where legally required.

7.6 Failed Payments. If a payment fails, Atelier Pin reserves the right to suspend your account until payment is successfully processed. Atelier Pin will attempt to notify you of failed payments by email.

Article 8

Disclaimer of Warranties

8.1 THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

8.2 Atelier Pin does not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from use of the Service will be accurate or reliable; (d) any content generated by the Service will be free from intellectual property claims by third parties; (e) the Service will be compatible with any Third-Party Platform at any given time.

8.3 Atelier Pin does not warrant that generated content will achieve any particular result on Third-Party Platforms, including but not limited to impressions, engagement, follower growth, or revenue.

8.4 Any material downloaded or otherwise obtained through the use of the Service is done at your sole discretion and risk. You are solely responsible for any damage to your computer systems or loss of data resulting from such use.

Article 9

Limitation of Liability

9.1 To the maximum extent permitted by applicable Swiss law, Atelier Pin and its owner, employees, contractors, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to: loss of profits, loss of revenue, loss of data, loss of goodwill, loss of business opportunity, or damage to reputation, arising out of or in connection with your use of or inability to use the Service.

9.2 Atelier Pin’s total cumulative liability to you for any claims arising from or related to these Terms or your use of the Service shall not exceed the total amount paid by you to Atelier Pin in the three (3) months immediately preceding the event giving rise to the claim.

9.3 Atelier Pin is not liable for any account suspension, restriction, shadow-banning, or termination imposed by any Third-Party Platform on your account as a result of your use of the Service.

9.4 Atelier Pin is not liable for any intellectual property infringement claims brought against you by third parties arising from content you scraped, uploaded, or generated using the Service.

9.5 These limitations apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise, and regardless of whether Atelier Pin has been advised of the possibility of such damages.

Article 10

Indemnification

You agree to indemnify, defend, and hold harmless Atelier Pin and its owner, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable legal fees) arising from or relating to:

  • Your use of the Service
  • Any content you upload, scrape, or generate using the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property rights, privacy rights, or contractual rights
  • Your violation of any Third-Party Platform’s terms of service
  • Any claim by a third party that content you generated or published using the Service infringes their rights

Article 11

Account Termination

11.1 Termination by You. You may terminate your account at any time by cancelling your subscription and deleting your account through the dashboard.

11.2 Termination by Atelier Pin. Atelier Pin reserves the right to suspend or permanently terminate your account and access to the Service, with or without notice, for any of the following reasons:

  • Violation of any provision of these Terms
  • Conduct that Atelier Pin determines, in its sole discretion, is harmful to other users, third parties, or the Service
  • Suspected fraudulent, abusive, or illegal activity
  • Non-payment of subscription fees
  • Receipt of a valid intellectual property complaint related to your use of the Service

11.3 Effect of Termination. Upon termination, your right to use the Service ceases immediately. Atelier Pin may delete your account data in accordance with the Privacy Policy. Atelier Pin is not liable to you or any third party for any termination of your account.

11.4 Survival. Articles 3, 4, 8, 9, 10, 13, and 14 of these Terms shall survive termination.

Article 12

Affiliate Program

12.1 Atelier Pin may operate an affiliate program allowing approved partners to earn commission on referred subscriptions. Participation in the affiliate program is subject to separate Affiliate Program Terms provided at the time of application.

12.2 Atelier Pin reserves the right to modify commission rates, terminate affiliate relationships, and discontinue the affiliate program at any time with reasonable notice.

12.3 Affiliates are strictly prohibited from making false or misleading claims about the Service. Any affiliate found doing so will be immediately terminated without payment of outstanding commissions.

12.4 Atelier Pin reserves the right to withhold or reverse commissions where the underlying subscription was obtained fraudulently or in violation of these Terms.

Article 13

Governing Law and Dispute Resolution

13.1 Governing Law. These Terms are governed by and construed in accordance with the laws of Switzerland, specifically the Swiss Code of Obligations (OR/CO), without regard to conflict of law provisions.

13.2 Jurisdiction. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Canton of Zurich, Switzerland.

13.3 Informal Resolution. Before initiating formal legal proceedings, you agree to first contact Atelier Pin at info@atelier-pin.com and attempt to resolve the dispute informally for a period of at least 30 days.

13.4 EU Consumer Rights. If you are a consumer resident in the European Union, you may have rights under applicable EU consumer protection law that cannot be waived by contract. Nothing in these Terms limits any such mandatory rights. EU consumers may also refer disputes to the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

Article 14

General Provisions

14.1 Entire Agreement. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Atelier Pin regarding the Service and supersede all prior agreements.

14.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver. Atelier Pin’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14.4 Assignment. You may not assign your rights or obligations under these Terms without Atelier Pin’s prior written consent. Atelier Pin may assign these Terms at any time without notice.

14.5 Modifications. Atelier Pin reserves the right to modify these Terms at any time. Material changes will be communicated by email or prominent notice within the Service. Continued use after notification constitutes acceptance.

14.6 Force Majeure. Atelier Pin shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, government action, internet outages, or third-party service failures.
